Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the Replyer AI software platform, a Software-as-a-Service (SaaS) product offered by Icarus AI Ltd ("we", "our", "Replyer AI"). By creating an account or using any part of the platform, you agree to these Terms in full. If you do not agree, do not use the platform.

2. Services Provided

Replyer AI offers AI-driven customer service automation tools for e-commerce businesses. This includes but is not limited to:

  • AI-powered email response automation
  • Customer interaction processing
  • Account setup, maintenance, and analytics

We aim to deliver high-quality services, but we do not guarantee specific results. AI performance depends on multiple factors, including the quality of your data.

3. User Responsibilities

By using Replyer AI, you agree to:

  • Provide accurate and lawful data
  • Keep your login credentials confidential
  • Use the software only for lawful purposes

You must not:

  • Reverse-engineer, copy, or modify the software
  • Use the software for unlawful, abusive, or fraudulent activity
  • Resell or sublicense the software without prior written consent

Violation of these rules may result in suspension or termination of your account.

4. Billing and Payments

Replyer AI charges are based on the volume of AI-handled messages:

  • <2,500 messages/month: €0.28 per message
  • 5,000+ messages/month: €0.17 per message
  • 8,000+ messages/month: €0.11 per message

Invoices are sent on the first business day of each month. Payment is due within 7 days. Late or failed payments may result in service suspension.

All prices are exclusive of VAT and subject to change with prior notice.

5. Account Termination

By the User: You may cancel at any time via the dashboard. One month notice applies.

By Replyer AI: We may terminate accounts for:

  • Violation of these Terms
  • Non-payment after repeated reminders
  • Abuse or fraud involving the AI

Refunds are not issued for terminations due to user breach.

6. Service Availability

While we strive for maximum uptime, Replyer AI does not guarantee uninterrupted service. Downtime may occur due to:

  • Scheduled maintenance
  • System updates
  • Unforeseen issues (e.g. cyberattacks, outages)

We are not liable for business losses caused by service unavailability.

7. Intellectual Property

All intellectual property rights related to the platform, including code, AI models, designs, and trademarks, remain the sole property of Icarus AI Ltd. You may not copy, modify, or redistribute any part of the platform.

8. Limitation of Liability

Replyer AI provides the service "as-is" with no warranty of any kind. We are not liable for:

  • Losses resulting from incorrect AI outputs
  • Software bugs or errors
  • Security breaches beyond our control

Our maximum liability is limited to the amount you paid us in the 3 months preceding any claim.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and customer-related data. We will not share your data with third parties unless required by law.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute shall be resolved by the competent courts of London, United Kingdom.

11. Amendments

We reserve the right to update these Terms at any time. We will provide at least 30 days' notice before changes take effect. Continued use of the service after this period implies acceptance of the new terms.
